The Bio-Mix Combi processes even the most difficult of substrates simply and efficiently. The push-off container with standard-specification stainless steel floor and walls is available in 4 different sizes. Volumes of 40 m³ – 96 m³ can be stored when used with the corrosion-resist-ant Bio-Mix 1450C.The wide range of container/mixer combinations available allows the system to be installed in specific positions to meet customer requirements. The weighing system (standard equipment) uses weighing pins installed in the lower frames and the PLC control system transmits the reading to the weigher display.

§ 1 ApplicabilityThe terms and conditions of the supplier (“we”) as set out below apply to all contracts concluded between the supplier and the purchaser concerning the supply of goods, in particular system components for biogas plants, and the use of associated services such as consultancy, installation and commissioning. The terms and conditions of business set out below also apply if they do not expressly conflict with diver-gent terms of contract as applied by the customer.

§ 2 Quotation and conclusion of the contractAll quotations are non-binding.

3 Confirmation of ordersThe supplier’s written confirmation of order shall determine the scope of supply and performance.

§ 4 Delivery time/delay in delivery• The delivery period shall start on dispatch of the confirmation of order but may not start before submission by the customer of any docu-

ments, licences or approvals that must be provided and receipt of an agreed advance payment.• The delivery period shall be deemed to be met if the delivery item has left the factory or the customer has been informed that it is ready

for dispatch before the end of the delivery period.• The delivery period shall be extended appropriately in the event of actions associated with industrial disputes, in particular strikes and

lock-outs, or in the event of unforeseen impediments which are beyond the control of the supplier, provided that such impediments demonstrably have a significant influence on the completion or delivery of the delivery item. This requirement shall also apply if such circumstances are experienced by subcontractors.

• If dispatch is delayed at the customer’s request, the costs arising from storage at the supplier’s warehouse and factory will be charged to the customer, starting one month after notification of readiness for dispatch and amounting to at least 0.5% of the amount of the invoice.

§ 5 Terms of paymentThe right of retention on the part of the customer and the right to offset claims are excluded. This does not apply to claims by the customer which are undisputed or have been validated by due legal process.

§ 6 Partial performance and transfer of risk• Partial deliveries are permitted.• The risk is transferred to the customer at the latest on dispatch of the items supplied. This shall also apply when partial deliveries are

made or the supplier has undertaken to provide other services, e.g. assembly.• At the request of the customer, the supplier will insure the consignment at the customer’s expense against theft, damage caused by

breakage, transportation, fire or water, and other insurable risks.

§ 7 Warranty and liability• If the purchased item is defective, the supplier is entitled, at its own discretion, to provide supplementary performance by eliminating the

defect or to supply a new, defect-free item. If a new, defect-free item is supplied, the customer undertakes to return the defective item.• If the defect cannot be rectified within a reasonable period, or if rectification of the defect and supply of a replacement item must be

viewed as having failed for other reasons, the customer may, at its discretion, demand a reduction in the purchase price or withdraw from the contract. Rectification of the defect may only be considered to have failed if the supplier has been granted sufficient opportunity to rectify the defect or supply a replacement item without achieving the desired effect, if the supplier has refused to rectify the defect or supply a replacement item or unacceptable delays have been incurred, if reasonable doubts exist with regard to the prospects of success, or if rectification or substitute performance cannot reasonably be expected on other grounds.

• The customer is obliged to inspect the goods on delivery for any obvious defects that would be evident to an average customer.• Obvious defects include significant, easily visible damage to the goods supplied. They also include cases where a different item or too small

a quantity has been supplied. Complaints about obvious defects of this nature must be submitted to the supplier in writing within four weeks o delivery. In the case of defects which do not become obvious until later, the customer must submit a complaint to the supplier within four weeks of identifying the defect. If the customer fails to comply with this requirement to carry out an inspection and submit a complaint, the goods shall be deemed to have been approved in respect of the defect concerned.

• A liability period (warranty period) of 12 months shall apply following the sale and delivery of new goods.• Our liability does not include breach of our obligations due to minor negligence insofar as such a breach does not pertain to any of our

material contractual obligations (‘cardinal obligations’), to loss or damage arising from injury to life, limb or health or warranties, or affect claims under the German Product Liability Act (Produkthaftungsgesetz). The same applies to breaches of obligations by our subcontrac-tors. Material contractual obligations (‘cardinal obligations’) are all obligations the fulfilment of which is a precondition for the proper performance of the contract and on whose observance the contractual partner may routinely rely. These are, in particular, obligations which are of the utmost importance in achieving the objective of the contract. They also include secondary obligations which may, in the event of a culpable breach of obligations, jeopardise the achievement of the purpose of the contract.
